Terms of use Use of the App is subject to the following terms of use. Mayo Clinic may modify these terms and conditions at any time, and such modifications shall be effective immediately upon posting the modified terms and conditions on the App site. You agree to review the agreement periodically to be aware of such modifications, and your accessing or using the service constitutes your acceptance of the agreement as it appears at the time of your access or use. The Services. The Services enable you to download, browse, and read or listen to eBooks, audiobooks and other materials ("Materials") using a compatible e-reader, mobile device or personal computer ("Compatible Device") and the App. The Services are for your personal, non-commercial use only. Reproduction, distribution, performance, display and creation of derivative works of the Materials, in any mode or media (including but not limited to transfer to optical media, such as CDs or DVDs, and sharing of Materials with others via file sharing services or email) are strictly prohibited. All rights not expressly granted herein are reserved to MFMER and its licensors. Term. MFMER reserves the right to terminate this agreement at any time. You agree to cease all use of and delete all copies of the Materials upon such expiration, and acknowledge that the Services, the Application Software and/or the Materials may include digital rights management technologies that delete, disable or otherwise inhibit use of Materials upon such expiration. Intended for users 18 and older The App and related Materials are intended for use by individuals 18 years of age or older. The App and Materials are not directed for use by children under the age of 18. Users under the age of 18 should get the assistance of a parent or guardian to use this site. General Provisions This Agreement constitutes the entire agreement between MFMER and User with respect to use of the App. This Agreement is governed by and construed under Minnesota law, excluding its conflicts of law provisions. The parties agrees that, in the event of any disputes arising between the parties, jurisdiction and venue for resolving such disputes shall reside exclusively in the state and federal courts in Ramsey County, Minnesota, USA. This Agreement, or any of the rights granted herein, may not be amended, assigned, sublicensed or transferred by User without MFMER's prior written consent. Failure of MFMER to enforce any provision will not constitute a waiver of such provision or of the right to enforce such provision. If any provision of this Agreement is held to be unenforceable by a court, the validity and enforceability of the other provisions will not be affected. If this Agreement is translated into another language, the English language version shall govern. Third Party Components Certain software libraries and other components of the App are subject to third-party and open source licenses and/or notices. Such licenses and/or notices may be found in the "read me" files in the file directories in which such components are located, along with instructions on how to obtain source code of such components, if applicable. You agree to comply with the terms of such licenses and/or notices. Any terms and conditions of this E-Reader Terms of Use that differ from such licenses and/or notices are offered by MFMER alone, and not by the licensor(s), initial developers or contributors of such components. Intellectual Property MFMER and its licensor(s) own and retain all intellectual property rights in the App, Services, Materials, and all associated software, copyrights, trademarks, brands, service marks, patents or other proprietary rights under law, including all intellectual property conceived during and in the course of performing the Services. You are permitted to use the App only as specifically authorized herein. You agree not to copy, distribute, display, disseminate, or otherwise reproduce any of the information on our app, website, or our app or website itself, without our prior written permission. This includes, but is not limited to, aggregating our content, rewriting it and/or reposting it elsewhere. “Mayo Clinic” and the three shield logo are trademarks used by Mayo clinic and Mayo Foundation for Medical Education and Research to uniquely identify our Intellectual property. You agree not to use this phrase anywhere without our prior written consent. Additionally, you agree not to use our trade dress, or copy the look and feel of our App or Service or its design, without our prior written consent. DISCLAIMER OF WARRANTY THE SOFTWARE IS PROVIDED "AS IS" AND WITH ALL FAULTS, AND MFMER, ITSELF AND ON BEHALF OF ITS LICENSORS, IF ANY, DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF A COURSE OF DEALING. LIMITATION OF LIABILITY YOU AGREE THAT YOUR USE OF THE SOFTWARE IS AT YOUR OWN RISK, AND THAT MFMER AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR USE OF THE SOFTWARE. WITHOUT LIMITING THE FOREGOING, MFMER AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ECONOMIC LOSS BASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT OR ANY OTHER LEGAL THEORY, EVEN IF MFMER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MFMER'S AND ITS LICENSORS' MAXIMUM CUMULATIVE LIABILITY FOR DAMAGES FOR ALL MATTERS ARISING OUT OF OR RELATING TO THIS AGREEMENT AND THE SOFTWARE EXCEED ONE HUNDRED ($100.00) IN THE AGGREGATE. SOME STATES OR COUNTRIES MAY HAVE LAWS THAT REQUIRE LIABILITY RIGHTS DIFFERENT FROM THOSE STATED ABOVE. IN SUCH STATES OR COUNTRIES, THE MINIMUM REQUIRED LIABILITY TERMS SHALL APPLY. Indemnification You agree to indemnify and hold MFMER, its parents, subsidiaries, affiliates, service providers, officers and employees, harmless from any liabilities, claims, expenses or demands, including reasonable attorneys' fees and costs, made by any third party due to or arising out of: (a) your use or misuse of the Services; (b) any use of the Services in violation of laws, rules, regulations or the TOU; and (c) your use of the Services to infringe any intellectual property or any other right of any person or entity. MFMER and its service providers reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate in asserting any available defenses. Collection and Use of Information  Collection and use of your personal information collected through downloading Materials and use fo the App, is governed by the Privacy Policy. In addition, MFMER may share your personal information with your employer if access through an employee-related account and service providers in order to provide the Services, confirm compliance with this Agreement, and to communicate with you about the Services and your account.
